Article 2 – Applicability
- These general terms and conditions apply to every offer made by Yessential B.V. and to every distance contract concluded between Yessential B.V. and the consumer.
- Before the distance contract is concluded, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, before the distance contract is concluded, it will be indicated where the general terms and conditions can be inspected at Yessential B.V. and that they will be sent free of charge upon request.
- If the contract is concluded electronically, the text of these general terms and conditions may be made available to the consumer electronically in such a way that it can be easily stored by the consumer on a durable data carrier.
Article 3 – The offer
- If an offer has a limited validity period or is subject to conditions, this will be explicitly stated in the offer.
- The offer contains a complete and accurate description of the products offered, sufficiently detailed to allow for a proper assessment by the consumer. Obvious mistakes or errors in the offer are not binding on Yessential B.V.
- Each offer contains such information that it is clear to the consumer what rights and obligations are attached to accepting the offer.
- The colors and dimensions of products as displayed on the website are rendered as accurately as possible. However, Yessential B.V. cannot guarantee that the colors the consumer sees on their screen exactly match the actual colors of the product. Minor deviations in color, hue, or texture from the product photos do not entitle the consumer to dissolve the agreement or claim compensation, unless the deviation is such that the product does not meet the reasonable expectations of the consumer.
Article 4 – The agreement
- The agreement is concluded at the moment of acceptance by the consumer of the offer and the fulfillment of the conditions set forth therein.
- If the consumer has accepted the offer electronically, Yessential B.V. will immediately confirm receipt of the acceptance electronically. As long as the receipt has not been confirmed, the consumer can dissolve the agreement.
- Yessential B.V. has the right to refuse an order or to attach special conditions to its execution, if there are well-founded reasons for doing so.
Article 5 – Right of withdrawal
Upon delivery of products:
- The consumer can terminate an agreement regarding the purchase of a product during a reflection period of at least 14 days without giving any reason.
- The reflection period starts on the day after the consumer, or a pre-designated third party, has received the product.
Consumer obligations during the reflection period:
- During the reflection period, the consumer will handle the product and its packaging with care. The product may only be unpacked or used to the extent necessary to ascertain its nature, characteristics, and functioning.
- The consumer is liable for any diminished value of the product resulting from handling it in a way that goes beyond what is permitted in paragraph 3. This includes user damage, such as scratches, stains, damage, or other signs of use that go beyond a normal inspection. If the product shows user damage, Yessential B.V. has the right to deduct the diminished value from the amount to be refunded or to refuse the return entirely.
Exercising the right of withdrawal:
- If the consumer exercises their right of withdrawal, they must notify Yessential B.V. within the reflection period via hello@yessential.nl or in another unambiguous manner.
- As soon as possible, but no later than 14 days after notification, the consumer must return the product. The consumer has in any case complied with the return period if they return the product before the reflection period has expired.
- The consumer must return the product with all supplied accessories, if reasonably possible in its original condition and packaging.
Costs of withdrawal:
- The costs of returning the product are for the consumer's account.
- If the consumer exercises their right of withdrawal, all supplementary agreements are automatically dissolved.
Article 6 – Obligations of Yessential B.V. in case of withdrawal
- Yessential B.V. will confirm the notification of withdrawal immediately upon receipt.
- Yessential B.V. will reimburse all payments made by the consumer, including any delivery costs, immediately but no later than 14 days following the day on which the consumer notified the withdrawal. Yessential B.V. may wait with repayment until the product has been received or the consumer demonstrates that they have returned the product. If the returned product shows user damage as referred to in Article 5, paragraph 4, Yessential B.V. has the right to deduct the determined diminished value from the refund.
- Yessential B.V. will use the same payment method for reimbursement that the consumer used, unless the consumer agrees to another method. The reimbursement is free of charge for the consumer.
Article 7 – Exclusion of the right of withdrawal
The right of withdrawal is excluded for products:
- that have been created in accordance with the consumer's specifications;
- that are clearly personal in nature;
- that cannot be returned due to their nature;
- that can spoil or age quickly;
- that are sealed and are not suitable for return due to health protection or hygiene reasons, and whose seal has been broken after delivery.
Article 8 – The price
- During the validity period stated in the offer, the prices of the offered products will not be increased, except for price changes due to changes in VAT rates.
- All prices are stated including VAT.
Article 9 – Delivery and execution
- Yessential B.V. will exercise the greatest possible care when receiving and executing orders.
- The place of delivery is the address that the consumer has made known to Yessential B.V.
- Orders are shipped from a fulfillment center. Yessential B.V. works with external logistics partners for storage and shipping, applying the same quality standards.
- Yessential B.V. will execute accepted orders within 30 days at the latest, unless a different delivery period has been agreed upon. If delivery is delayed, or if an order cannot be executed or can only be partially executed, the consumer will be notified within 30 days after placing the order. In that case, the consumer has the right to dissolve the agreement without any costs.
- After dissolution in accordance with the previous paragraph, Yessential B.V. will immediately refund the amount paid by the consumer.
- The risk of damage and/or loss of products rests with Yessential B.V. until the moment of delivery to the consumer.
Article 10 – Payment
- The consumer has the obligation to immediately report inaccuracies in provided payment data to Yessential B.V. via hello@yessential.nl.
- The amounts owed by the consumer must be paid within 14 days after the start of the reflection period, or in the absence of a reflection period, within 14 days after the conclusion of the agreement.
- Yessential B.V. has the right to demand advance payment.
Article 11 – Conformity and warranty
- Yessential B.V. guarantees that the products and/or services comply with the agreement, the specifications stated in the offer, the reasonable requirements of soundness and/or usability, and the legal provisions and/or government regulations existing on the date of the conclusion of the agreement. If agreed, Yessential B.V. also guarantees that the product is suitable for other than normal use.
- A guarantee provided by Yessential B.V., manufacturer, or importer does not detract from the legal rights and claims that the consumer can assert against Yessential B.V. on the basis of the agreement.
- Any defects or incorrectly delivered products must be reported to Yessential B.V. in writing within 7 days of delivery via hello@yessential.nl. Products must be returned in their original packaging and in new condition.
- The warranty period of Yessential B.V. corresponds to the factory warranty period. However, Yessential B.V. is never responsible for the ultimate suitability of the products for each individual application by the consumer, nor for any advice regarding the use or application of the products.
- The warranty does not apply if:
- the consumer has repaired and/or modified the delivered products themselves or had them repaired and/or modified by third parties;
- the delivered products have been exposed to abnormal conditions or are otherwise treated carelessly or contrary to the instructions of Yessential B.V. and/or on the packaging;
- the defectiveness is wholly or partly the result of government regulations that have been or will be imposed regarding the nature or quality of the materials used.
Article 12 – Complaints procedure
- Yessential B.V. has a complaints procedure and handles complaints in accordance with this procedure.
- Complaints about the implementation of the agreement must be submitted fully and clearly described to Yessential B.V. via hello@yessential.nl within a reasonable time after the discovery of the defects.
- Complaints submitted to Yessential B.V. will be answered within 14 days of receipt. If a complaint requires a longer processing time, the consumer will receive an acknowledgment of receipt within 14 days with an indication of when a more comprehensive answer can be expected.
- If the complaint cannot be resolved by mutual agreement, a dispute arises that is subject to the dispute settlement procedure.
Article 13 – Disputes
- Agreements between Yessential B.V. and the consumer are exclusively governed by Dutch law.
Article 14 – Privacy and data protection
- Yessential B.V. processes personal data in accordance with the General Data Protection Regulation (GDPR).
- Personal data will only be used for the execution of the agreement, processing payments, and sending orders via the fulfillment center.
- Yessential B.V. will not share personal data with third parties, unless this is necessary for the execution of the agreement (such as the fulfillment center and delivery services) or legally required.
- The consumer has the right to access, correct, and delete their personal data. For questions regarding this, please contact hello@yessential.nl.
Article 15 – Additional or differing provisions
Additional provisions or provisions deviating from these general terms and conditions may not be to the detriment of the consumer and must be laid down in writing or in such a way that they can be stored by the consumer in an accessible manner on a durable data carrier.
